Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sh1p (the "App"), a Shopify application operated by DNM Software LLC ("we," "us," or "our"). By accessing or using Sh1p, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the App.
Sh1p is a Shopify application that connects your e-commerce store to the ClearJet shipping network. The App provides:
- Integration with your Shopify store for order management
- Access to ClearJet shipping services and rates
- Shipment tracking and label generation
- Wallet-based payment system for shipping costs
- Dashboard for managing shipments and transactions
To use Sh1p, you must:
- Create an account with accurate and complete information
- Have authorization to access and manage the Shopify store you connect
- Maintain the security of your account credentials
- Be at least 18 years of age or the age of legal majority in your jurisdiction
- Comply with all applicable laws and regulations
You are responsible for all activity that occurs under your account.
Wallet Balance
You must maintain a sufficient wallet balance to process shipments. Funds are deducted automatically when shipping labels are purchased.
Deposits
Deposits are processed through Stripe and are subject to processing fees. All deposits are non-refundable except as required by law.
Pricing
Shipping costs are determined by ClearJet and may vary based on package dimensions, weight, destination, and service level. We reserve the right to adjust pricing with notice.
Refunds
Refunds for unused shipping labels or service issues are processed at our discretion and credited to your wallet balance.
You agree to:
- Provide accurate shipping information (addresses, package details, contents)
- Comply with all shipping regulations and restrictions
- Not ship prohibited or illegal items
- Not use the App for fraudulent or unlawful purposes
- Not interfere with or disrupt the App's operation
- Not attempt to gain unauthorized access to any part of the App
- Maintain adequate insurance for high-value shipments
The App, including all content, features, and functionality, is owned by DNM Software LLC and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose. You may not copy, modify, distribute, sell, or reverse engineer any part of the App.
Sh1p integrates with third-party services including Shopify, ClearJet, and Stripe. Your use of these services is subject to their respective terms and conditions.
We are not responsible for the actions, policies, or performance of third-party services. Any disputes with third parties must be resolved directly with them.
To the maximum extent permitted by law, DNM Software LLC shall not be liable for:
- Lost, damaged, or delayed shipments
- Errors in shipping information provided by users
- Service interruptions or technical issues
- Actions or omissions of third-party service providers
- Indirect, incidental, or consequential damages
Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:
- Uninterrupted or error-free service
- Specific delivery times or shipping outcomes
- Accuracy of shipping cost estimates
- Availability of specific shipping services
We may suspend or terminate your access to the App at any time, with or without cause or notice, including for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment or insufficient funds
- Abuse of the service
You may terminate your account at any time by discontinuing use of the App. Upon termination, your remaining wallet balance may be refunded at our discretion, subject to applicable fees.
You agree to indemnify and hold harmless DNM Software LLC from any claims, damages, losses, or expenses arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of any laws or regulations
- Shipping of prohibited or illegal items
- Inaccurate shipping information you provide
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date.
Your continued use of the App after changes constitutes acceptance of the new Terms.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Dispute Resolution
Before filing any claim, you agree to contact us at disputes@ship.app to attempt to resolve the dispute informally. Please include your account details, a description of the dispute, and your desired resolution. We will respond within 30 business days.
Binding Arbitration
If we cannot resolve a dispute informally, you and DNM Software LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Arbitration will be conducted by a single neutral arbitrator
- The arbitration will take place remotely via videoconference unless both parties agree otherwise
- The arbitrator's decision will be final and binding
- Each party bears its own attorneys' fees unless the arbitrator awards fees under applicable law
- For claims under $10,000, arbitration will be conducted solely on written submissions unless you request a hearing
Class Action Waiver
YOU AND DNM SOFTWARE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Small Claims Court Exception
Either party may bring an individual action in small claims court instead of arbitration if the claim qualifies for small claims court jurisdiction and remains in small claims court.
Opt-Out Right
You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms. To opt out, send a written notice to legal@ship.app stating "I opt out of the arbitration agreement" along with your name, email address, and account information. If you opt out, you and DNM Software LLC agree that disputes will be resolved in state or federal courts located in Utah.
Governing Law
These Terms are governed by the laws of the State of Utah and the United States, without regard to conflict of law principles. Any litigation arising from these Terms (for those who opt out of arbitration) shall be brought exclusively in the state or federal courts located in Utah.
